These Terms of Service ("Terms") govern your use of the LeaseRx platform, website, and reports (collectively, the "Service") operated by LeaseRx, LLC, a Florida limited liability company ("LeaseRx," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
LeaseRx provides commercial lease analysis, market intelligence, and strategic recommendations for healthcare professionals. Our reports are generated using a combination of artificial intelligence, proprietary transaction data, and publicly available market information.
LeaseRx is not a law firm, real estate brokerage, or financial advisory firm. The Service does not provide legal advice, financial advice, investment advice, or brokerage services. No attorney-client relationship, fiduciary relationship, or brokerage relationship is created by your use of the Service.
The information, analysis, and recommendations provided through the Service — including but not limited to risk assessments, negotiation strategies, market benchmarks, and "Landlord Insight" sections — are for informational and educational purposes only. They do not constitute legal advice and should not be relied upon as a substitute for consultation with a qualified real estate attorney licensed in your jurisdiction.
Commercial leases are legally binding documents governed by state and local law. Lease provisions that appear standard in one jurisdiction may be unenforceable or carry different implications in another. We strongly recommend that you engage a qualified real estate attorney to review any lease before signing, and to advise you on any negotiation strategies suggested in our reports.
LeaseRx reports include negotiation recommendations, likelihood assessments, and potential savings estimates. These are based on patterns observed in our proprietary transaction database and general market intelligence. We do not guarantee that any specific negotiation outcome, concession, or savings amount will be achieved. Every landlord, property, and market is different. Actual results will depend on your specific circumstances, market conditions, and the parties involved.
Likelihood assessments (such as "High Likelihood" or "Medium Likelihood") reflect general patterns from our transaction data and should be understood as directional guidance, not predictions.
Market benchmarks, occupancy rates, rent ranges, and other market data referenced in our reports are sourced from publicly available data, including medical office REIT supplemental filings, industry research publications, and government sources. While we believe this data to be accurate, we do not warrant or guarantee its accuracy, completeness, or timeliness. Market conditions change frequently, and data may not reflect conditions at the time you receive your report.
Proprietary intelligence in "Landlord Insight" sections reflects general patterns observed across our transaction database. Individual landlord behavior may vary.
LeaseRx does not perform automated redaction of uploaded documents. You are solely responsible for removing any personal or sensitive information from your lease documents before uploading. This includes, but is not limited to, Social Security numbers, personal phone numbers, home addresses, and personal email addresses. Our system will process whatever you upload as-is.
Property addresses should be retained in your upload as they are necessary for accurate market benchmarking.
Your uploaded document is processed in memory during analysis and the original file is not permanently stored. However, your generated report and associated analysis data (which may include extracted lease terms, property addresses, landlord and tenant entity names, and financial terms) are retained for up to 90 days to enable report delivery and any premium upgrades. Report data is automatically deleted after this period. Please refer to our Privacy Policy for additional details.
The Service, including its analysis methodology, report formats, knowledge base, market data compilations, and "Landlord Insight" intelligence, is the proprietary property of LeaseRx, LLC. Reports generated for you are licensed for your personal, non-commercial use only. You may share your report with your attorney, broker, or financial advisor. You may not reproduce, distribute, or resell LeaseRx reports or methodology for commercial purposes without our written consent.
To the maximum extent permitted by applicable law, LeaseRx, LLC, its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, or business opportunities — arising out of or related to your use of the Service, regardless of the theory of liability.
Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid to LeaseRx for the specific report giving rise to the claim. If the report was provided at no cost, our total liability shall not exceed fifty dollars ($50).
You agree to indemnify and hold harmless LeaseRx, LLC and its officers, members, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your reliance on any report content, or your violation of these Terms.
You represent that you have the legal right to upload any document you submit to the Service, and that your use of the Service complies with all applicable laws. You are responsible for the accuracy of any information you provide (such as specialty selection and email address) and for redacting any personal or sensitive information from your documents before uploading.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Service after any modification constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Palm Beach County, Florida.
